The impact of anthropogenic greenhouse gas emissions is seriously threatening the stability of the earth’s climate. The changes are felt acutely in the oceans of the planet, and one of the key consequences is sea-level rise, the process by which the average sea levels are slowly increasing. Due to their low elevation above sea levels, Low-lying Island States (LLISs), sea level rise presents an existential threat to their very existence, despite LLISs being among the lowest emitters of greenhouse gases. The predicament of LLISs presents a novel question to international law: no state has ever risked the permanent, physical loss of its territory. The absence of clear state practice or authoritative guidance on whether a state can continue existing beyond the loss of its territory and the loss of its population has resulted in significant uncertainty.
This thesis aims to address certain elements of this uncertainty and provide context-relevant legal analyses of possible avenues for palliative solutions, in the event better solutions could not have been implemented. The thesis’ main arguments have been published in three peer-reviewed publications. The first article that constitutes this thesis examines the relevance of the principle known as the presumption of continuity. The article outlines two distinct doctrines of continuity, one of which assumes statehood to be mostly irreversible (a “ratchet”), while the other instead approaches continuity as an assessment of “sameness” of identity. The article argues that under the “sameness” doctrine, the presumption of continuity would only play a limited role in preserving the statehood of a threatened LLIS if the latter were to lose its territory. The second article investigates the possible relevance of the Sovereign Military Order of Malta (SMOM) as an alternative form of international legal personality for a deterritorialised LLIS, a means through which the latter could maintain its existence independently from statehood. The third article examines the limited and context-based relevance of the 1954 Convention relating to the Status of Stateless Persons for the displaced nationals of LLISs.
The summary provides crucial context to the analysis contained in the three articles by framing the latter’s analyses through a scenario-based approach. Two sets of scenarios are outlined, respectively addressing a number of possible outcomes to the question of the future statehood of a deterritorialised LLIS and the avenues available for the protection of the externally displaced nationals of the LLIS in question. This framing is key, as it allows this thesis to investigate a hypothetical worst-case scenario context and context-relevant avenues for solutions while emphasizing that such an outcome should be avoided, whether through pre-emptive legal developments, or adaptation and mitigation efforts.; Jordens klimatstabilitet hotas allvarligt av växthusgasutsläpp förorsakade av mänsklig aktivitet. De små östaternas prekära situation ger upphov till en ny frågeställning inom internationell rätt: ingen stat har någonsin riskerat den permanenta, fysiska förlusten av sitt territorium. Avsaknaden av statspraxis eller vägledning om huruvida en stat kan fortsätta existera efter att ha förlorat sitt territorium och sin befolkning har lett till stor osäkerhet.
Denna avhandling syftar till att ta upp vissa delar av denna osäkerhet och att tillhandahålla i sammanhanget relevanta juridiska analyser av möjliga lindrande lösningar, i händelse av att bättre lösningar inte kunde ha genomförts. Avhandlingens huvudargument har publicerats i tre referentgranskade artiklar. Den första artikeln i avhandlingen undersöker relevansen av principen som kallas ”presumtionen om kontinuitet”. Artikeln beskriver två olika doktriner om kontinuitet, varav den ena antar att status som stat är mestadels irreversibel, medan den andra istället närmar sig kontinuitet som en bedömning av huruvida identiteten är och förblir oförändrad. Artikeln argumenterar för att enligt "identitetsdoktrinen” skulle presumtionen om kontinuitet bara spela en begränsad roll i bevarandet av en hotad östats status som stat ifall den skulle förlora sitt territorium. Den andra artikeln undersöker Malteserorden och dess möjliga relevans som ett exempel på en alternativ form av internationell rättslig status för en östat utan territorium, som på detta sätt kunde fortsätta att existera utan en koppling till status som stat. Den tredje artikeln undersöker den begränsade och kontextbaserade relevansen av 1954 års konvention angående statslösa personers rättsliga ställning för de fördrivna medborgarna i små östater.
Avhandlingens sammanfattning ger ett väsentligt sammanhang för analysen i de tre artiklarna och inramar analyserna genom att använda ett scenario-baserat tillvägagångssätt. Två olika scenarier presenteras. Den ena behandlar ett antal möjliga utfall till frågan om den framtida statusen som stat för en östat utan territorium. Den andra granskar de vägar som finns tillgängliga för att skydda de externt fördrivna medborgarna i östaten i fråga. Denna inramning är av central betydelse, eftersom den möjliggör att i avhandlingen undersöka ett hypotetiskt värsta-fall-scenario och kontextrelevanta lösningar, samtidigt som den betonar att ett dylikt utfall bör undvikas, antingen genom förebyggande rättslig utveckling eller anpassnings- och lindringsåtgärder.; L'impact des émissions anthropiques de gaz à effet de serre menace sérieusement la stabilité du climat de notre planète. Ces changements se ressentent profondément dans les océans de la planète, entraînant, parmi d'autres conséquences, une élévation progressive du niveau de la mer. En raison de leur faible élévation, plusieurs Petits États Insulaires en Développement (PEID) voient leur existence même menacée par l'élévation du niveau de la mer, bien qu'ils comptent parmi les plus faibles émetteurs de gaz à effet de serre. La situation difficile des PEID pose une question inédite en droit international: aucun État n'a jamais risqué la perte complète et permanente de son territoire. En l'absence de pratique étatique claire ou de doctrine faisant autorité, se pose la question de savoir si un État peut maintenir son statut au-delà de la perte de son territoire et de sa population, créant ainsi une incertitude.
Cette thèse se propose d'éclaircir certains aspects de cette incertitude en offrant des analyses juridiques ajustées à leur contexte. Des alternatives y sont explorées pour des situations où des solutions optimales se révèlent inapplicables. Les principaux arguments de cette thèse ont été traités dans trois publications évaluées par des pairs. Le premier article examine la pertinence du principe connu sous le nom de présomption de continuité. L'article distingue deux doctrines de continuité: la première considère l’existence des États comme étant principalement irréversible (un « cliquet »), tandis que la seconde envisage la continuité comme une évaluation de la similitude de l'identité de l’État en question, plutôt que son existence. L'article soutient que selon la doctrine de similitude, la présomption de continuité jouerait un rôle comparativement restreint dans la préservation de l’existence d'un PEID si celui-ci venait à perdre son territoire. Le deuxième article étudie la possible valeur de l’Ordre de Malte comme précédent possible pour une forme alternative de personnalité juridique internationale pour un PEID hors de son territoire, un moyen par lequel ce dernier pourrait maintenir son existence indépendamment de son statut d’État. Le troisième article examine la pertinence, limitée et contextuelle, de la Convention de 1954 relative au statut des apatrides pour les ressortissants déplacés des PEID.
Le résumé fournit un contexte crucial à l'analyse contenue dans les trois articles en les situant dans une approche se basant sur plusieurs scénarios futurs. Deux séries de scénarios sont établis, décrivant respectivement un certain nombre de possibilités concernant la question du futur statut d'État d’un PEID sans territoire, et d’autre part, des moyens légaux disponibles pour la protection des ressortissants du PEID en question déplacés à l'extérieur de leur pays. Ce cadrage est essentiel, car il permet à cette thèse d'étudier un contexte hypothétique de scénario catastrophe ainsi que des pistes de solutions adaptées, tout en soulignant qu’un tel avenir devrait être évité, que ce soit par des développements juridiques préventifs ou par des efforts d'adaptation et d'atténuation des changements climatiques.

First, inter-state threats and deterrence in a Baltic Sea region context are explored from a legal perspective, for the purpose of examining whether the concept of border security is used in connection with the use of force and threats between states. The conclusion is drawn that as a rule the term border security is not used in these contexts. Inter-state threats can be seen as inherent in deterrence. It is more probable that military exercises, which are commonly used as deterrence, could be seen as an illegal threat in a conflict situation, than as standalone exercises.
Second, the main objective of the thesis is an exploration of the concept of border security from a legal perspective, with a focus on national border actors in the Baltic Sea region. ‘Border security’ is now found in legal documents in the EU, and in UN Security Council resolutions. The objectives of EU border control or border security rules and the UN Security Council application of border control or border security are examined. Inter alia the security contexts are different, but border control and the goal of border security at both EU and global levels in the end entail processes of similar character, concerning individuals crossing borders. It is argued that the use of ‘border security’ in the practice of the UN Security Council has changed over the years. It now concerns individuals (and goods) crossing international borders. It is assessed that factors of both an objective and subjective character are part of developments towards the use of the term border security at both EU and global levels.
The EU is an example of an advanced border control or border security system, based on supranational rules. The overall functioning of member states’ continued influence on the EU border system is assessed from a security perspective. A number of circumstances can be seen as alleviating EU member states’ concerns over having relinquished sovereignty in this regard to the EU. Member states have certain – but as a main rule narrow – possibilities to derogate from legal obligations for security reasons in the context of border rules. The characteristics and nature of the national authority applying the EU border rules are in the hands of EU member states.
The security of the external border is inextricably linked to upholding the internal security, and in the end economic factors. On a general note, the ‘taking-back’ of powers over the borders by EU member states during the 2015 migration crisis and the 2020 pandemic crisis shows the sensitivity concerning borders. It is highlighted that a lasting definition of security, or of security dimensions, is not achievable, since the political and scientific concepts of security changes when the political contexts change.; För det första utforskas mellanstatliga hot och avskräckning i Östersjöregionen från ett rättsligt perspektiv, med syfte att undersöka om konceptet gränssäkerhet (border security) används i samband med våldsanvändning och hot mellan stater. Slutsatsen är att termen gränssäkerhet som regel inte används i dessa sammanhang. Mellanstatliga hot kan betraktas som en del av avskräckning. Det är mer troligt att militärövningar, som ofta används som avskräckning, skulle kunna ses som ett olagligt hot i en konfliktsituation än som en ensamstående övning.
För det andra är det huvudsakliga målet en undersökning av konceptet gränssäkerhet från ett rättsligt perspektiv med fokus på nationella gränsaktörer i Östersjöregionen. Termen gränssäkerhet finns nu i rättsliga dokument i EU och Förenta Nationernas (FN) säkerhetsrådsresolutioner. Målen med EU:s regler om gränskontroll eller gränssäkerhet och FN:s säkerhetsråds tillämpning av gränskontroll och gränssäkerhet undersöks. Bland annat säkerhetssammanhangen är inte desamma, men gränskontroll och målet med gränssäkerhet både på EU-nivå och globalt innebär i slutändan processer av liknande karaktär, rörande individer som korsar gränser. Det görs gällande att FN:s säkerhetsråds tillämpning av begreppet gränssäkerhet har ändrats med åren. Begreppet avser nu som regel individer (och varor) som korsar internationella gränser. Bedömningen görs att faktorer av både objektiv och subjektiv karaktär har påverkat utvecklingen av begreppet gränssäkerhet både på EU-nivå och globalt.
EU är ett exempel på ett avancerat gränskontrollsystem eller gränssäkerhetssystem, baserat på överstatliga regler. Medlemsstaternas fortsatta inflytande på EU:s system undersöks från ett säkerhetsperspektiv. Ett antal faktorer kan ses som lättnader vad gäller EU:s medlemsstaters oro över att ha överlåtit suveränitet på området till EU. EU:s medlemsstater har vissa – men som regel inte omfattande – möjligheter att av säkerhetsskäl avvika från rättsliga skyldigheter i ett gränskontrollsammanhang. Egenskaper hos och karaktären på den nationella institutionen som tillämpar EU:s gränsregler avgörs av EU-medlemsstaten ifråga.
Den yttre gränsens säkerhet är oupplösligt förbunden med upprätthållande av den inre säkerheten och i slutändan ekonomiska faktorer. Från ett allmänt perspektiv visar återtagandet av makten över gränser av EU:s medlemsstater under migrationskrisen 2015 och pandemikrisen 2020 känsligheten rörande gränser. Det framhålls att en hållbar definition av säkerhet, eller säkerhetsdimensioner, inte kan uppnås, eftersom politiska och vetenskapliga säkerhetskoncept ändras när den politiska kontexten ändras.

Is it not just common sense to do the right thing? : On corporate (mis)conduct, corporate governance and management control in a Nordic context

In the wake of a corporate scandal, stakeholders question how the misconduct, such as payment of bribes, enabling money laundering and management fraud, was possible. The organisations, their directors, managers and auditors, may be caught off guard because they have presumed that adequate governance and management control practices were in place. Especially in a Nordic context corporate conduct is perceived to be ‘common sense’, and employees are expected to somewhat intrinsically ‘do the right thing’. Formal practices and ethics and compliance programmes may not be prioritised, but even when they are, formal programmes are not necessarily the solution, as they may become part of the problem in some instances.
Corporate scandals reveal that the management of Environment, Social and Governance (ESG) risks have, to some extent been, outsourced to active owners, investigative journalists and social interest groups. This study traces the internalisation process and implementation of improved corporate governance and management control in response to stakeholder expectations on ESG responsibilities. The study explores what happens in one organisation when a formal system, an ethics and compliance program (ECP), is implemented. The main question is how an ECP could be designed and implemented to have a lasting impact on corporate conduct and culture. One analytical framework and one practical framework for managing corporate (mis)conduct are proposed to respond to the main question. Both frameworks have theoretical and practical implications.
This study contributes to the literature on both management control and ethics and compliance and provides managerial and legislative implications. The ethics and compliance literature is complemented by proposing an integration of formal and informal ECP. An integrated ECP will surface information that is uncomfortable and will challenge existing beliefs, norms and practices and ethical corporate conduct will become more complex than just ‘doing the right thing’. One purpose of management control is to reduce friction and streamline information. This study challenges this as frictions and ethical struggles are an essential part of the internalisation of ESG responsibilities and ECP implementation. The struggle theory (Kaptein, 2017) is complemented with a fourth struggle, the struggle to decouple, which refers to continuing formal ECP implementation whilst knowing that the work has little impact on the actual context and culture.
The key finding is that the implementation of renewed management control practices, i.e., an ECP, is not the solution for managing ESG risk and corporate (mis)conduct per se. In fact, an ECP may become part of the problem if the governance structures fail to accommodate the subjectivisation processes. The struggles and frictions are absorbed by individuals, and the ECP effectiveness depends more on the individual than on the ECP. The ECP, such as new policies and training, remains as isolated activities that provide false comfort and does not advance ethical corporate conduct into institutionalised practice.

Efter en företagsskandal står många frågande inför hur dessa oegentligheter såsom − mutbrott, penningtvätt och förskingring − har kunnat ske. Företagens styrelseledamöter, chefer och revisorer är förvånade eftersom dessa har antagit att företagets styr-och kontrollsystem varit tillräckliga. I en nordisk kontext kan affärsetik upplevas som sunt förnuft och medarbetare förväntas intuitivt fatta rätt beslut. Formella styr- och kontrollsystem, såsom system för etik och regelefterlevnad (ethics and compliance program; ECP), prioriteras nödvändigtvis inte. Där formella system prioriteras är det inte en självklarhet att dessa är en del av lösningen, utan de formella systemen kan även bli en del av problemet.
Många företagsskandaler påvisar att hanteringen av risker som gäller miljö, sociala frågor och bolagsstyrning (Environment, Social and Governance; ESG) till en viss del hanteras av externa parter såsom aktiva ägare, grävande journalister och sociala intressegrupper. Denna studie granskar hur företag internaliserar hanteringen av dessa risker. Studien undersöker effekterna av implementeringen av ett formellt system för etik och regelefterlevnad inom ett företag. Huvudfrågan är hur detta system kunde utformas och implementeras för att ha en varaktig påverkan på affärsbeteenden och -kulturen. Studien föreslår ett analytiskt ramverk och ett praktiskt ramverk som svar på denna huvudfråga. Båda ramverken har teoretiska och praktiska implikationer.
Denna studie har både praktiska och regulatoriska konsekvenser och bidrar till litteraturen gällande styr- och kontrollsystem samt litteraturen gällande etik och regelefterlevnad. Som en komplettering till litteratur gällande etik och regelefterlevnad föreslås en integration av formella och informella ECP. Ett integrerat ECP bidrar till att i vissa fall obekväm information, som utmanar existerande övertygelser, normer och handlingssätt, synliggörs. Affärsetik blir mer komplext än att endast ’göra det som är rätt’. Ett huvudsyfte med styr- och kontrollsystem är att förenkla och effektivisera. Denna studie utmanar detta syfte eftersom friktioner och etiska dilemman är centrala för internaliseringen av ESG riskhantering samt vid ECP implementering. En fjärde dimension föreslås till ”ethical struggle” teorin (Kaptein, 2017). Denna dimension beskriver en frånkoppling mellan formella aktiviteter och verklig påverkan. I praktiken betyder detta att man medvetet fortsätter med att implementera formell ECP, trots en vetskap om att arbetet har en obetydlig påverkan på verkliga affärsbeteenden och -kultur.
Implementering av nya styr- och kontrollsystem, såsom ECP, är inte i sig en lösning på oetiska affärsföreteelser samt ESG riskhantering. Om systemen inte tar hänsyn till individualiseringsprocesser så kan ett ECP, såsom nya riktlinjer och utbildning, bli en del av problemen. Det etiska affärsbeteendet utveckals inte till institutionell praxis då etiska dilemman och friktioner hanteras på individnivå och ECP förblir isolerade aktiviteter som inger en falsk trygghet.
